With this resolution the Trustees will approve the Whistleblower Protection Policy which demonstrates Sinclair's expectation that all employees, students, volunteers, agents and contractors will always conduct business in an honest and ethical manner. Further, it encourages individuals to report suspected or actual wrongful conduct without fear of reprisal.

WHEREAS, Sinclair expects that all employees, students, volunteers, agents and contractors will always conduct business in an honest and ethical manner; and WHEAREAS, Sinclair wishes to provide protected disclosure to individuals who, in good faith and with reasonable belief, report actual or suspected wrongful conduct; and WHEREAS, Sinclair wishes to protect any individual reporting actual or suspected wrongful conduct from retaliation;

NOW, THEREFORE, BE IT RESOLVED, that the Sinclair Board of Trustees approves the Whistleblower Protection Policy; and BE IT FURTHER RESOLVED, that the Whistleblower Protection Policy is effective immediately.

BOARD ACTION: A motion was made to approve the resolution by Trustee Dannetta Graves and seconded by Trustee Barney Wright. The motion carried unanimously.
